3.5 You agree not to use the Website for any unlawful, fraudulent, or abusive purpose, and not to attempt to gain unauthorised access to any part of the Website or its underlying systems.
4. Our Products
4.1 Physical Books. We sell physical books available for Click and Collect or Home Delivery. Product descriptions and images are provided for guidance only and may vary slightly from the physical product.
4.2 In-Stock and Catalogue Items. Where a book is an In-Stock Item, we will set it aside for you upon receipt of your order. Where a book is a Catalogue Item, we will order it from our supplier. Catalogue Items ordered for in-store collection typically arrive the next working day. We will notify you when your order is ready by text message and/or email using the contact details you have provided.
4.3 Pairing Subscription. Our Pairing Subscription is a curated book and wine pairing service fulfilled directly by us. You must be 18 or over to subscribe. Age is verified by self-declaration through our age verification gateway at the point of purchase on the Website. Subscription contents (including book and wine selections) may vary at our discretion, provided the overall nature and value of the subscription is maintained.
4.4 Events. From time to time we may offer Events bookable through the Website. Specific terms relating to individual Events, including pricing, cancellation rights, and refund policies, will be displayed at the time of booking.
5. Placing an Order and Contract Formation
5.1 An order placed on the Website constitutes an offer by you to purchase Products subject to these Terms.
5.2 We will send you an order acknowledgement by email promptly after you submit your order. This confirms receipt of your order but does not constitute acceptance.
5.3 A binding Contract is formed when we send you a separate order confirmation email. For pay-on-collection Click and Collect Orders (see clause 6.1), no Contract is formed until you pay for the Products in store.
5.4 We reserve the right to decline or cancel any order at our discretion, including where:
(a) a Product is out of stock and cannot be sourced within a reasonable time; (b) a pricing or description error has occurred on the Website; (c) we are unable to verify your age for an age-restricted Product; or (d) payment has not been authorised.
5.5 If we cancel an order after payment has been taken, we will issue a full refund to your original payment method within a reasonable time.
6. Click and Collect
6.1 Pay on Collection. We offer a click and collect reservation option that allows you to reserve a Product without paying in advance. Where you choose this option:
(a) your reservation is not a binding Contract until you pay in store; (b) we will hold your Product for up to two weeks from the date of your reservation or, for Catalogue Items, from the date we notify you of its arrival; and (c) if you do not collect and pay within that period, your reservation lapses automatically and we may return the Product to general sale without further notice to you.
6.2 Pay in Advance. Where you pay for a Click and Collect Order in advance via the Website, a binding Contract is formed in accordance with clause 5.3 and:
(a) we will hold your Product for up to four weeks from your order confirmation or, for Catalogue Items, from the date we notify you of its arrival; and (b) if you have not collected within that period, please contact us at [email protected] to make alternative arrangements.
6.3 We will notify you when your order is ready for collection by text message and/or email.
7. Home Delivery
7.1 Delivery Orders are fulfilled by a third-party logistics provider on our behalf. By placing a Delivery Order, you acknowledge that your Products will be handled by that third party.
7.2 Estimated delivery timeframes will be shown at checkout. These are estimates only and not guaranteed delivery dates. We are not liable for delays caused by third-party carriers or circumstances outside our reasonable control.
7.3 Risk in and title to Products passes to you upon delivery to your nominated address.
7.4 If a delivery attempt is unsuccessful, the carrier will follow their redelivery or holding procedure. We are not responsible for any additional charges incurred as a result of a failed delivery attempt caused by your absence or by inaccurate delivery information you have provided.
8. Pricing and Payment
8.1 All prices displayed on the Website are inclusive of VAT where applicable. Physical books are generally zero-rated for VAT under UK law.
8.2 We accept payment via DOJO, operated by Payment Sense Limited. Payment information is processed securely by our payment provider; we do not store your full card details.
8.3 Payment for Delivery Orders and advance-pay Click and Collect Orders is taken at the time of placing your order.
8.4 Payment for pay-on-collection Click and Collect Orders is taken in store at the point of collection.
8.5 We reserve the right to amend prices on the Website at any time. The price applicable to your order is the price shown at the time you submit it.
8.6 If a pricing error is identified after your order is placed, we will notify you promptly and give you the option to proceed at the correct price or cancel for a full refund.
9. Your Right to Cancel — Distance Contracts
9.1 Cooling-off period. If you are a consumer and you have purchased Products via the Website for Home Delivery or on an advance-pay Click and Collect basis, you have the right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2014 to cancel your order within 14 days of receiving your Products, without giving a reason.
9.2 To exercise this right, notify us within the 14-day period by emailing [email protected]. We will acknowledge your cancellation by return.
9.3 You must return the Products to us at your own cost within 14 days of notifying us of your cancellation. We will issue a full refund, including any standard delivery charges you paid, within 14 days of receiving the returned Products back, or evidence that you have sent them, whichever is earlier.
9.4 We may reduce your refund to reflect any diminution in the value of the Products resulting from handling beyond what is necessary to inspect them. In particular, where a book has been substantially read, we may apply a reasonable deduction from the refund amount.
9.5 Pay-on-collection reservations. No binding Contract is formed until you pay in store; accordingly, you may cancel your reservation at any time before payment by notifying us at [email protected]. The statutory cooling-off right does not apply to in-store purchases.
9.6 Pairing Subscriptions. You have the right to cancel a Pairing Subscription within 14 days of placing your initial subscription order. Where fulfilment has already commenced within that 14-day period with your express agreement, we may charge a proportionate amount for the portion already supplied.
10. Returns, Refunds, and Store Credit
10.1 Statutory rights. Nothing in these Terms limits or excludes your statutory rights as a consumer under the Consumer Rights Act 2015, including your right to receive goods that are of satisfactory quality, fit for purpose, and as described.
10.2 Faulty or misdescribed goods. If a Product is faulty or materially not as described, please contact us at [email protected] with your order details. Depending on the circumstances and the timing of your complaint, you may be entitled to a repair, replacement, or refund.
10.3 Discretionary returns. Outside your statutory rights, we accept returns at our absolute discretion. We will not accept a discretionary return where a book has clearly been read. All discretionary returns must be:
(a) in the same condition as when purchased or delivered; (b) accompanied by proof of purchase; and (c) raised within a reasonable period from the date of purchase.
10.4 Discretionary Exchange. Where we accept a discretionary return, we will offer you the opportunity to exchange the returned Product for any book or books available from The BookCellar up to the same value (“Discretionary Exchange”), subject to the following conditions:
(a) A Discretionary Exchange does not affect your statutory rights, which remain intact in all circumstances. (b) You may exchange for a title of greater value by paying the difference in price at the time of exchange. (c) Where the title you select is of lesser value than the returned Product, we retain the difference. No cash payment, refund, or further exchange entitlement is given for any shortfall in value. (d) A Discretionary Exchange has no cash value, is non-transferable, and cannot be redeemed for cash.
10.5 Part-exchange promotions. From time to time we may run in-store promotions permitting part-exchange of books. Any such scheme is applied entirely at our discretion and is subject to such specific terms as we may publish at the time.
10.6 How to raise a return or complaint. Contact us at [email protected] with your order reference and a description of the issue.
11. Pairing Subscriptions — Additional Terms
11.1 By subscribing to a Pairing Subscription, you enter into a recurring contract with us for the regular supply of curated book and wine pairings.
11.2 You must be at least 18 years of age to subscribe. Age is verified by self-declaration through our age verification gateway at the point of purchase on the Website. By making that declaration, you confirm that you are 18 or over. Providing a false declaration is a criminal offence. We reserve the right to cancel or suspend a subscription where we have reasonable grounds to believe this condition is not met.
11.3 Subscription pricing, frequency, and contents are set out on the Website at the time of subscription. We may vary the specific contents (including book and wine selections) provided the overall nature and value of the subscription is not materially altered.
11.4 Subscriptions renew automatically at the frequency you select unless you cancel. You may cancel at any time by contacting us at [email protected]. Cancellation takes effect from the next scheduled renewal date; no refund is given for a current subscription period already paid, except where your statutory cancellation rights apply (see clause 9.6).
11.5 We reserve the right to amend subscription pricing on reasonable written notice. If you do not wish to continue at the revised price, you may cancel your subscription before the new pricing takes effect.
11.6 Pairing Subscriptions are fulfilled by us directly. We will use reasonable endeavours to deliver each subscription on schedule, but occasional delays may arise due to supplier availability or circumstances outside our control.
12. Intellectual Property
12.1 All content on the Website, including text, images, graphics, curated book and wine pairings, editorial descriptions, and reviews created by us, is the intellectual property of BOOKCELLAR BRISTOL LIMITED (or its licensors) and is protected under English and international copyright law.
12.2 Our book and wine pairings are our original creative work. You may not reproduce, copy, distribute, or commercially exploit our pairing content without our prior written consent.
12.3 You may view, print, and download content from the Website for your own personal, non-commercial use only. Nothing in these Terms grants you any other licence to use our intellectual property.
12.4 Third-party content on the Website, including publishers’ book descriptions, cover images, and author information, remains the property of the respective rights holders and is used by us under licence or in accordance with applicable law.
13. Our Liability
13.1 Nothing in these Terms limits or excludes our liability for:
(a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be limited or excluded, including under the Consumer Rights Act 2015.
13.2 Subject to clause 13.1, we are not liable for:
(a) any indirect or consequential loss; (b) loss of profits, revenue, contracts, or anticipated savings; (c) any loss arising from your failure to comply with these Terms; or (d) delays or failures caused by circumstances outside our reasonable control, including carrier delays, supplier issues, or events of force majeure.
13.3 Subject to clause 13.1, our total liability to you under or in connection with any Contract shall not exceed the total price you paid for the Products in question.
13.4 The Website is provided on an “as is” basis. We do not warrant that it will be uninterrupted, error-free, or free from malicious software. You are responsible for ensuring your device has appropriate security measures in place.
13.5 We are not responsible for the content of any third-party websites linked from the Website.
14. Events
14.1 Where Events are available for booking via the Website, specific terms (including any deposit, ticket price, cancellation, and refund policy) will be presented at the time of booking and will form part of your Contract with us for that Event.
14.2 We reserve the right to cancel or reschedule any Event. Where we do so, we will notify you as soon as reasonably practicable and provide a full refund of any amounts paid.
15. Privacy and Data Protection
15.1 We take your privacy seriously. Our Privacy Policy, available on the Website, explains how we collect, use, store, and protect your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
15.2 By using the Website, you confirm that you have read and understood our Privacy Policy.
16. Complaints and Dispute Resolution
16.1 If you have a complaint, please contact us at [email protected] with your name, order reference, and a description of your concern. We will acknowledge your complaint within a reasonable time and work to resolve it promptly.
16.2 If we are unable to resolve your complaint to your satisfaction, you may refer the matter to a certified alternative dispute resolution (ADR) provider or seek redress through the courts. We are not currently members of a specific ADR scheme but will make reasonable efforts to reach a fair resolution.
16.3 Nothing in this clause affects your right to bring legal proceedings in a court of competent jurisdiction.
17. Governing Law and Jurisdiction
17.1 These Terms and any Contract formed between us are governed by and construed in accordance with the law of England and Wales.
17.2 Any dispute arising out of or in connection with these Terms or any Contract shall be subject to the exclusive jurisdiction of the courts of England and Wales.
18. General
18.1 Entire agreement. These Terms, together with our Privacy Policy and any order confirmation, constitute the entire agreement between us relating to your purchase and supersede any prior representations, warranties, or arrangements.
18.2 Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining Terms shall continue in full force and effect.
18.3 Waiver. A failure or delay by us to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy.
18.4 Third parties. These Terms do not create any rights enforceable by third parties under the Contracts (Rights of Third Parties) Act 1999.
18.5 Assignment. We may assign or transfer our rights and obligations under these Terms without your consent, provided this does not adversely affect your rights. You may not assign your rights or obligations without our prior written consent.
